Amplitude Event Terms and Conditions
These Amplitude Event Terms and Conditions ("Terms") are an agreement between Amplitude, Inc. ("Amplitude") and you or the entity you represent ("you"). By registering for or participating in the in-person or virtual event ("Event"), you confirm that you have read, understand and agree to these Terms.
1. Registration
In order to attend the Event, you must complete the Event registration process. Please answer all the registration questions to complete your registration. The registration information you provide must be accurate and current.Tickets and registrations are subject to availability.
2. Payment
If there is a fee to attend an Event, payments must be made in accordance with the instructions on the registration form or in a subsequent written communication. Unless otherwise stated in the registration form, the payment for the tickets must be made via credit card at the time you register for the Event. All ticket sales are non-refundable and non-cancelable.
3. Transfers and Badge Policy
Virtual Events. Substitutions of Virtual Event registrations may not be made or transferred without the prior written consent by Amplitude (email acceptable).
In-Person Events. Substitutions of In-Person Event registrations may be made at any time by contacting Amplitude at . In that email, you must provide the following information regarding the new In-Person Event attendee: (i) first and last name; (ii) job title; (iii) email address; and (iv) phone number. All "no shows" will be deemed a cancellation by you if you do not show up to the In-Person Event. Amplitude will not provide any refunds to you if you do not show up to the In-Person Event. Amplitude will issue the badge to the person named in the registration. Amplitude may require a photo ID from you when collecting a badge at the In-Person Event. Your badge must be worn at all times during the In-Person Event. The badge guarantees admission to the In-Person Event but may not guarantee admission to every session, meeting area, dinners, or other hosted events. You may not share your badge with anyone.
4. Event Program and Cancellation
The Event program, including guest speakers and topics, is subject to change. Amplitude may cancel the Event at any time and may deny or cancel a registration for the Event (including a confirmed registration) at any time. Amplitude is not responsible for any damages, direct or indirect, resulting from such cancellation. If Amplitude cancels the Event, Amplitude will issue you a refund of the ticket fee (minus a processing fee) that you have paid to Amplitude. Any hotel or flight booking cancellation fees are the responsibility of the attendee.
5. Code of Conduct
You agree to behave in such a way as to create a safe, supportive learning environment while at the Event and any related events. You agree not to engage in disruptive speech or behavior or otherwise interfere with the Event or other individuals’ participation in the Event. You will comply with all applicable laws and agree not to engage in any form of harassing, offensive, discriminatory or threatening speech or behavior, including relating to race, gender, sexual orientation, religion or disability. Amplitude may, in its sole discretion, ask you to leave the Event or related events immediately if you engage in any behavior that violates these Terms. Amplitude will not be responsible for providing a refund of any fees paid by you, if you are asked to leave the Event or a related event due to violating the Agreement, including the Code of Conduct described in this Section 5.
6. Information About You; Badge Scanning
Any contact details and other information that you provide to Amplitude at the time you register for the Event will be handled in accordance with Amplitude’s . By registering for the Event and providing your contact details or other information to Amplitude, you consent to the collection, use and disclosure of the information you provide in connection with the Event by Amplitude in accordance with our Privacy Policy. You can always unsubscribe from receiving our promotional emails at any time by clicking the unsubscribe link in those emails. During an In-Person Event, Amplitude will use a handheld badge scanning technology. The scanning of your badge is optional and you may refuse to have your badge scanned at booths as well as at the entrance to sessions and other events.
Some Events are sponsored by third parties and some sponsors are provided with Event attendee information. By registering for or attending an Event, Amplitude may share your information with sponsors of the Event. Please review the Event registration page for a list of, or link to, these entities and their contact information. If you do not wish to have your registration information shared with sponsors, you can express your preferences when you register for the Event (where such option is required by law). To unsubscribe from further communications from these sponsors, please contact the sponsor directly.
At an In-Person Event, a sponsor may scan your badge at their booth or the panel or session they are sponsoring. When a sponsor scans your badge, you are consenting to that sponsor’s collection of the information associated with your Event badge. In these circumstances, your information will be subject to the sponsors' privacy notices, which Amplitude does not control. If you do not wish for your information to be shared, you may choose to not have your badge scanned.
7. Use of Images and Materials
During the Event, Amplitude, its sponsors or third party vendors may take photographs, audio and/or video recordings of you and others at the Event.
Images. You hereby grant Amplitude and its affiliates, agents, employees and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to reproduce, edit, publish, create derivatives of, distribute, publicly perform or publicly display, for advertising, publicity and promotional purposes or for any other purpose in Amplitude’s sole discretion such audio and video recordings and photographs of you, your voice or likeness in connection with the Event, including your name and biographical information (collectively, "Images").
Materials. In addition, you hereby grant Amplitude and its affiliates, agents, employees and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to reproduce, edit, publish, create derivatives of, distribute, publicly perform or publicly display, for advertising, publicity and promotional purposes or for any other purpose in Amplitude’s sole discretion any materials (electronic or hard copy) created, shared, submitted, uploaded or presented by you in connection with the Event, including any materials submitted via social media handles associated with the Event (collectively, "Materials"). You consent to Amplitude’s use of your Images and Materials in perpetuity without compensation, attribution or additional consents from you, and you waive any moral rights you may have in the Images and Materials.
By making or submitting Materials, you promise the following:
- that you are 18 years or older;
- that you own or otherwise control the rights to your Materials and any and all elements thereof;
- that you have the rights from any and all third parties appearing in such Materials to use their names, images or likenesses and any other third party-owned elements as necessary in and as part of your Materials; and
- that your Materials does not infringe or violate the rights of any third parties, including, but not limited to, intellectual property rights, copyrights, trademarks, rights of publicity/privacy, patent, trade secret or confidentiality obligations.
Amplitude reserves the right, at its sole discretion, to edit any Materials and to choose to include, not include or remove such Materials from its Website or in any other materials where the Materials may appear. You acknowledge that Amplitude is not responsible for, and has no liability for, any use of all or any part of a Materials.
8. Alcohol
Alcohol may be available at an Event and dinners or other activities associated with such an Event. The consumption of alcoholic beverages is prohibited for anyone under the legal age, according to the applicable local law. Upon request, you must provide proof of your age before you may purchase or be served alcohol.
9. Assumption of Risk
You acknowledge and agree that your attendance and participation in the Event is voluntary. You agree to assume the risks associated with attending and participating in the Event to the fullest extent permitted under applicable law.
10. Release of Claims
To the extent permissible by applicable law, you (for yourself, your heirs, personal representatives, assigns, and anyone else who might make a claim on your behalf) hereby release Amplitude and its affiliates, and their respective directors, officers, employees, contractors, representatives, agents, successors and assigns, from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and costs) that you may have now or in the future associated in any way with the Event, Images, or Materials.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AMPLITUDE BE LIABLE TO YOU, ANY ENTITY, OR ANY THIRD PARTY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, LOSS OF DATA, LOSS OF PROFITS, LOSS OF OPPORTUNITY OR OTHER PECUNIARY LOSS, COST OF COVER OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, EXEMPLARY OR RELIANCE DAMAGES ARISING FROM OR RELATED TO THE EVENT, INCLUDING YOUR USE OF THE BADGE AND/OR PARTICIPATION IN THE EVENT. IN ADDITION, AMPLITUDE’S AGGREGATE LIABILITY FOR ALL OTHER DAMAGES IN CONNECTION WITH THE EVENT SHALL NOT EXCEED $500 USD.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMPLITUDE PROVIDES THE EVENT, AND ALL SERVICES AND PRODUCTS PROVIDED IN CONNECTION WITH THE EVENT ON AN "AS IS" BASIS WITHOUT ANY WARRANTY OF ANY KIND, INCLUDING EXPRESS OR IMPLIED, OR OTHERWISE. AMPLITUDE EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING, BUT NOT LIMITED TO, SAFETY, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
13. Indemnification
You shall indemnify, defend, and hold harmless Amplitude and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees, the cost of enforcing any right to indemnification hereunder, and the cost of pursuing any insurance providers (collectively, "Losses"), resulting from any claim, suit, action, or proceeding (each, an "Action") arising out of or related to: the Event, Images, Materials, your attendance at the Event or your violation of these Terms or applicable laws.
14. Governing Law
For Events produced in North America, these Terms are governed by the laws of the State of California without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of or related to these Terms or the licenses granted hereunder shall be instituted exclusively in the federal courts of the United States or the courts of the State of California in each case located in the city of San Francisco and County of San Francisco, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding. For Events occurring outside of North America, the Terms are governed by laws of England and Wales without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of or related to these Terms or the licenses granted hereunder shall be instituted exclusively in the courts of law in London, England. Service of process, summons, notice, or other document by mail to such party’s address set forth herein shall be effective service of process for any suit, action, or other proceeding brought in any such court.
15. Miscellaneous
Miscellaneous. If any provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision. Amplitude reserves the right to modify these Terms at any time, in its sole discretion. Your attendance at the Event will be deemed your acceptance of the modified Terms.
16. Assumption of Risk; COVID-19 Safety
You acknowledge and agree there are inherent risks with attending in-person events and that Amplitude cannot guarantee that participants will not be infected with COVID-19. By attending an In-Person Event you waive all risks related to COVID-19.
